Refund Policy

WyomingLLC (operated by Topslice LLC) offers refunds based on the stage of your formation. This policy is designed to be fair: full refund if we have done nothing yet, partial refund for incomplete work, no refund once all included services have been delivered.

Before we file your LLC

Full refund of the $297 service fee if you cancel before we file your Articles of Organization with the Wyoming Secretary of State. Refunds processed back to your original payment method within 5 to 7 business days.

This includes the period immediately after payment (before you complete the intake form) and any period before we have actually submitted your filing to the state, even if intake is complete.

After we file your LLC, before EIN issuance

The Wyoming state filing fee is non-refundable (paid directly to Wyoming Secretary of State). The $297 service fee is refundable minus filing costs incurred:

  • Wyoming registered agent first-year cost (~$100)
  • Document preparation and delivery (~$50)
  • Operating agreement drafting (~$50)
  • Communication and intake review (~$30)

Typically a partial refund of 50% to 70% of the $297 service fee is possible at this stage. Specifics depend on how far through the process we have gone.

After EIN issuance

No refunds after we have submitted Form SS-4 and the IRS has issued your EIN. By that point all included services have been delivered:

  • Wyoming LLC formation completed
  • Registered agent year 1 active
  • Operating agreement delivered
  • EIN obtained from IRS
  • Bank introduction packets prepared

The bank introduction itself is included in your service fee. If you decide not to use it (e.g., you already have a US bank), that is your choice; the introduction service was available to you.

Add-ons

  • ITIN add-on ($297): refundable if we have not yet submitted Form W-7 to the IRS. After submission, ITIN is non-refundable.
  • Form 5472 + 1120 filing add-on ($99/year): refundable if we have not yet submitted the filing. After submission, non-refundable for that year.
  • Registered agent year 2+ renewal: refundable within 30 days of the renewal charge if you have not yet had a full year of service. We can also pro-rate refunds.
  • Multi-LLC bundle: refunds applied per-LLC based on the same stage-based criteria. Bundle discounts may be unwound if you cancel before all LLCs are formed.

How to request a refund

Email or WhatsApp us with:

  • Your order ID (from the Stripe receipt)
  • The reason for the refund request
  • Whether you want a partial or full refund

We respond within 1 business day with the refund amount we can process. Once you accept, the refund hits your original payment method within 5 to 7 business days.

Chargebacks and disputes

If you have a concern, please contact us first. We respond to all refund requests within 1 business day and try to resolve issues directly. Chargebacks via Stripe are a last resort and can result in temporary account suspension while we investigate.

Stripe disputes that are decided in our favor (because the work was completed as agreed) may result in additional fees being charged to your account to cover Stripe's dispute fees.

What is non-refundable in any case

  • The Wyoming Secretary of State filing fee (paid to the state, not to us)
  • The IRS Form SS-4 application processing (no fee, but not undoable)
  • USPTO trademark fees (if you used an add-on we coordinated; these go to USPTO directly)
  • Bank application fees (banks do not charge for non-resident applications, so this is rare)

Special cases

If we cannot deliver the service: e.g., if your country is added to the OFAC sanctions list after you have paid, or if we go out of business, we issue full refunds.

If we made an error: e.g., if we filed your LLC with a wrong name and have to refile, we cover the refiling cost (Wyoming state fee plus our service). You do not pay twice.

If the IRS rejects your EIN application: we resubmit at no charge. EIN rejection does not entitle you to a refund; we keep trying until the EIN is issued.

If a bank rejects your application: bank rejection is not a refund event. The bank introduction service was delivered (we made the intro). We help you apply to the next bank at no additional charge.
