Terms of Service

By using WyomingLLC (operated by Topslice LLC, a New York limited liability company) you agree to these terms. Please read them carefully. If you do not agree, do not use our service.

What we provide

WyomingLLC provides US Wyoming LLC formation services for non-US residents. Specifically:

  • Wyoming LLC formation: filing Articles of Organization with the Wyoming Secretary of State under Wyoming Statutes Title 17, Chapter 29.
  • Wyoming registered agent service (year 1 included).
  • IRS Form SS-4 filing for your Employer Identification Number.
  • Custom operating agreement with Wyoming-specific charging-order language.
  • Direct introductions to Mercury, Relay, and Wise Business for US bank accounts.
  • Document delivery as searchable PDFs.
  • Customer support via WhatsApp and email.
  • Optional add-ons: ITIN application, Form 5472 + pro forma 1120 annual filing.

What we do NOT provide

  • Legal advice. We are not a law firm. Nothing on our site or in our communications is legal advice. Consult a licensed attorney for legal questions.
  • Tax advice. We are not a CPA firm. Nothing on our site or in our communications is tax advice. Consult a licensed CPA for tax questions.
  • Bank approval guarantees. Mercury, Relay, and Wise are independent companies that approve or reject applications based on their own KYC review. We introduce; the banks decide.
  • Money services or payment processing. We are not a bank, money transmitter, or payment processor.
  • Investment advice. We do not provide guidance on whether to form an LLC for investment purposes.
  • Ongoing operations. Once your LLC is formed and your EIN is issued, your business operations are your responsibility.

Eligibility

You may use our service if:

  • You are at least 18 years old.
  • You are not a resident or citizen of an OFAC-sanctioned country (Iran, North Korea, Syria, Cuba, and others as designated by the US Treasury Department).
  • You can lawfully enter into a service contract under the laws of your country.
  • You provide accurate information during intake.

Acceptable use

You agree to use our service for lawful business purposes only. You may not use the LLC we form for:

  • Illegal activities (drug trafficking, weapons sales, terrorism financing)
  • Money laundering or tax evasion
  • Fraud, scams, or deceptive practices
  • Activities prohibited by US sanctions or your country's laws
  • Adult content businesses in jurisdictions where prohibited

We reserve the right to refuse service or terminate accounts that violate these terms.

Pricing and payment

Our service fee is $297. The Wyoming state filing fee is paid separately to the Wyoming Secretary of State. Optional add-ons (ITIN at $297, Form 5472 + 1120 filing at $99/year) are clearly priced and billed only if you opt in.

Payment is processed by Stripe. We accept cards from 135+ countries, Apple Pay, and Google Pay. Higher-value orders may use Wise transfer or bank wire on request.

Refunds

Refund policy details are at our refund policy page. Summary:

  • Full refund if we have not yet filed your LLC.
  • After filing, the Wyoming state fee is non-refundable. Service fee is refundable minus filing costs incurred.
  • After EIN issuance, all included services have been delivered and refunds are no longer available.
  • Add-ons are refundable if we have not yet submitted the associated form.

Service timelines

We aim to file your Wyoming LLC within 24 hours of intake form completion. IRS EIN turnaround is 8 to 10 business days but is outside our control. Bank account application timelines depend on the bank's KYC review.

We do not guarantee specific timelines for IRS or bank actions. We do guarantee that we will file accurately on our end within the timelines stated.

Customer responsibilities

You are responsible for:

  • Providing accurate information during intake
  • Maintaining your registered agent appointment beyond year 1
  • Filing your Wyoming annual report (or opting into our add-on)
  • Filing IRS Form 5472 + pro forma 1120 annually (or opting into our add-on; $25,000 IRS penalty for non-filing)
  • Maintaining separation between LLC and personal accounts
  • Complying with US sales tax rules where you have nexus
  • Complying with your home country's tax and disclosure rules
  • Updating your registered agent if you switch providers
  • Notifying us of material changes to your LLC structure (member changes, address changes)

Limitation of liability

To the maximum extent permitted by law, WyomingLLC and Topslice LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, business interruption, or reputational harm, arising from or related to your use of our service.

Our total liability to you for any claim arising from this agreement shall not exceed the service fee you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless WyomingLLC, Topslice LLC, and our agents from any claims, damages, or expenses arising from:

  • Your use of the service in violation of these terms
  • Inaccurate information you provided during intake
  • Activities you conduct through the LLC we form
  • Your violation of applicable laws or regulations

Intellectual property

The WyomingLLC brand, website, content, and proprietary methodology (intake forms, prep packets, operating agreement templates) are our intellectual property. You may not republish, resell, or modify our content without permission.

The operating agreement we draft for you becomes your property and is yours to use, amend, and store as you see fit. You may not redistribute our template to third parties as a service.

Termination

You may stop using our service at any time. Refund policy applies as noted above. Cancellation of registered agent service requires written notice 30 days before renewal.

We may terminate or suspend service if you violate these terms, provide false information, or use the service for prohibited purposes. We will notify you and provide an opportunity to cure where reasonable.

Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email to active customers. Continued use of our service after changes constitutes acceptance.

Governing law and dispute resolution

These terms are governed by the laws of the State of New York (without regard to conflict of laws principles). Disputes shall be resolved by binding arbitration in New York County, New York, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in the courts of New York County for IP or confidentiality violations.

Severability

If any provision of these terms is found unenforceable, the remaining provisions shall continue in effect.

Entire agreement

These terms, together with our privacy policy and refund policy, constitute the entire agreement between you and WyomingLLC.
