Year 2 and beyond: recurring cost

The Wyoming License Tax explained

The Wyoming annual report fee is technically the "License Tax", governed by Wyoming Statutes Section 17-29-209 and related provisions. It scales with assets located in Wyoming, not total assets.

For 99% of non-resident-owned Wyoming LLCs, the fee is the $60 minimum. Your inventory in California Amazon warehouses, your customers in Brazil, your bank account at Mercury (which is in San Francisco, not Wyoming) all do NOT count as Wyoming assets for the License Tax. Only physical assets located within Wyoming state borders count.

Common cost questions

Why do you not list the Wyoming state fee amount? Because the state fee can change with Wyoming legislative updates, and we want our quoted total to always be accurate. The filing fee is paid directly to the state; we show you the current amount during intake.

Are there hidden fees? No. Your year 1 invoice is the $297 service fee plus the Wyoming state fee. Optional add-ons (ITIN, Form 5472, annual report filing) are clearly priced and only billed if you opt in.

Do banks charge anything? Mercury and Relay are $0/month with no minimum balance. Wise Business is $0/month with a one-time $31 setup fee. Stripe is per-transaction (2.9% + $0.30 on US card payments). No bank charges hit your monthly burn.

What about sales tax? If you have nexus in states where you sell (FBA inventory creates physical nexus), you need to register and collect. TaxJar (~$19/month) or Avalara (custom pricing) automate this. Most early-stage founders only register in 1 to 3 states.

Refund policy

Before we file your Articles of Organization with the Wyoming SoS, you receive a full refund if you cancel. After filing, the Wyoming state fee is non-refundable (it went to the state), but we refund the service fee minus the registered-agent first-year cost and any filing-related costs already incurred. Typically a partial refund of 50 to 70% of the service fee is possible up until EIN issuance. After your EIN is issued, all included services have been delivered and refunds are no longer available.

Add-ons (ITIN, Form 5472 filing) are refundable if we have not yet submitted the associated form to the IRS.

Year 3+ is the same as year 2: $60 annual report + RA renewal + optional 5472 add-on. The recurring cost stays flat unless Wyoming legislature changes the annual report fee, which they have not done since 2016.
