1. Will Mercury approve me?

Country profile + business description quality determine approval. Use our Mercury Approval Calculator (wyomingllc.xyz/tools/mercury-approval-calculator) to estimate. Country baseline ± 5% for documentation quality.

2. What is the total cost?

$297 + state fee year 1. ~$160/year ongoing. Optional Form 5472 + 1120 filing $99/year. Optional ITIN $297 one-time. Most customers spend $497-$600 in year 1 including state fee and one add-on.

3. Do I owe US tax?

For non-resident pass-through LLC owners without US Effectively Connected Income: typically zero US federal income tax. Form 5472 + pro forma 1120 filing mandatory annually. Home country tax (your country's rules) is separate question.

4. What is Form 5472 and the penalty?

Annual IRS filing for foreign-owned single-member LLCs. Reports related-party transactions (capital contributions, owner draws). $25,000 penalty for non-filing per year. Due April 15, extension to October 15 via Form 7004. WyomingLLC files for $99/year.

5. How long does formation take?

24 hours for Wyoming LLC filing. 8-10 business days for EIN. 1-7 days for Mercury after EIN. Full operational stack typically 3-4 weeks end-to-end.

6. Wyoming vs Delaware?

Wyoming for non-VC-track founders. Saves $300-$400/year. Same legal protection for most operating businesses. Delaware only if priced equity raise within 6 months.

7. Can I get an EIN without SSN?

Yes. File IRS Form SS-4 by fax to (855) 215-1627. Line 7b: "Foreign" instead of SSN. 8-10 business days to receive CP575. WyomingLLC files for every customer as part of the $297 + state fee package.

8. Will Stripe accept my LLC?

Yes for clean profiles. Instant approval typical with LLC + EIN + Mercury account. Restricted categories (CBD, gambling, MLMs, some financial services) face manual review.

9. What if I have multiple businesses?

One LLC can host multiple business lines (SaaS + agency + e-commerce). Many customers run 3-5 products under one LLC. Separate LLCs only needed to wall off liability per business.

10. Can I transfer from doola or Firstbase?

Yes. Cancel with them at renewal. Move registered agent to WyomingLLC at $100/year. Form 5472 filing through us at $99/year. LLC and EIN stay the same. Switching cost ~$200.
